Press Release: Traxys North America Issues USD 90 Million in Senior Unsecured Notes
Traxys North America LLC (“Traxys” or the “Company”), a subsidiary of Traxys S.à r.l., the ultimate parent guarantor, and a leading global physical trader and merchant in metals and natural resources, is pleased to announce the successful completion of its inaugural U.S. private placement (“USPP”). The transaction was placed with investors on April 17, 2026, with closing and funding on June 15, 2026.
The marketing process included a focused three day roadshow, featuring a global investor call and inperson meetings in New York City, Hartford, and Atlanta, enabling direct engagement with Traxys senior management. The USPP is structured in three tranches: a (i) 3-year (ii) 5-year, and (iii) 7 year fixed rate notes, with proceeds used for general corporate purposes. ING and MUFG acted as joint placement agents.
Todd Hermanson, Traxys’ Group Chief Financial Officer, commented:
"Traxys' inaugural entry into the U.S. private placement market marks an important milestone in the diversification of our financing platform. The strong response from institutional investors across highquality accounts — achieved at pricing guidance and in a challenging rate environment — demonstrates the depth of confidence in Traxys' financial strength, earnings stability, and the quality of our balance sheet. This transaction meaningfully extends our debt maturity profile and complements our existing bank-led facilities, giving us a more resilient and flexible capital structure.
Mark Kristoff, Traxys’ Group Chief Executive Officer, added:
"Accessing the U.S. private placement market for the first time reflects the maturity and ambition of Traxys as a business. We have built a group with genuine scale, operating across more than 65 commodities in critical materials markets that are increasingly important to the energy transition and industrial supply chains globally. The confidence shown by these institutional investors validates the strategic direction we have set and strengthens our ability to continue expanding our platform in service of our customers and partners around the world."
Issuer’s counsel to Traxys was O’Melveny & Myers LLP, while investors were represented by Greenberg Traurig LLP.
The notes have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption
